These Terms of Service ("Terms") govern your use of the Ola Habitat website (olahabitat.com) and property management services. By accessing our website or engaging our services, you agree to these Terms.
1. Services
Ola Habitat provides vacation rental property management services, including but not limited to:
- Listing optimization and marketing
- Guest communication and booking management
- Cleaning and maintenance coordination
- Financial reporting and revenue management
- Regulatory compliance assistance
Services are detailed in individual management agreements with property owners.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into binding contracts. By using our services, you represent that you meet these requirements.
3. Management Agreements
Property management services are governed by separate, written management agreements. These Terms supplement but do not replace management agreements. In case of conflict, management agreements prevail.
4. Fees and Payment
Management fees are specified in your management agreement. Fees are typically a percentage of gross rental revenue. We may charge additional fees for optional services (e.g., professional photography, deep cleaning, capital improvements). Payment terms are net 30 days unless otherwise agreed.
5. Property Owner Responsibilities
As a property owner, you agree to:
- Provide accurate property information and legal documentation
- Maintain property insurance and comply with local regulations
- Authorize Ola Habitat to act as your agent for rental purposes
- Respond to urgent property matters in a timely manner
- Pay all property-related expenses (utilities, taxes, repairs)
6. Intellectual Property
All website content, including text, graphics, logos, and software, is owned by Ola Habitat or licensed to us. You may not reproduce, distribute, or create derivative works without written permission.
7. User Conduct
You agree not to:
- Use our services for unlawful purposes
- Provide false or misleading information
- Interfere with website functionality or security
- Collect user data without authorization
- Impersonate Ola Habitat or its representatives
8. Limitation of Liability
To the fullest extent permitted by law, Ola Habitat shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of revenue, profits, or data
- Property damage caused by guests, natural disasters, or third parties
- Service interruptions due to circumstances beyond our control
Our total liability for any claim shall not exceed fees paid to us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Ola Habitat, its affiliates, and personnel from claims, damages, and expenses arising from:
- Your breach of these Terms or management agreements
- Your violation of laws or third-party rights
- Property-related incidents (injuries, damages, disputes)
10. Third-Party Services
We partner with third-party providers (cleaning services, maintenance contractors, booking platforms). We are not responsible for third-party actions, but we vet vendors and coordinate services on your behalf.
11. Termination
Either party may terminate a management agreement per its terms (typically 30-90 days notice). Upon termination:
- We will transfer bookings and guest information
- You will pay outstanding fees and expenses
- We will return property access and documentation
We reserve the right to refuse service or terminate immediately for breach of Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Quintana Roo, Mexico. Disputes will be resolved through:
- Good-faith negotiation (30 days)
- Mediation (if negotiation fails)
- Binding arbitration in Tulum, Quintana Roo (final step)
You waive the right to participate in class actions or jury trials.
13. Force Majeure
We are not liable for delays or failures caused by events beyond our control (natural disasters, pandemics, government actions, utility failures, etc.).
14. Changes to Terms
We may update these Terms periodically. Changes will be posted with a new "Last Updated" date. Continued use constitutes acceptance. Material changes will be communicated via email.
15. Severability
If any provision is found unenforceable, the remainder of these Terms remains in effect.
16. Entire Agreement
These Terms, together with your management agreement and Privacy Policy, constitute the entire agreement between you and Ola Habitat.
